使用FirstBase代辦在美國德拉瓦州設立LLC公司的過程 (六之二、實際取得EIN，填寫SS-4表格) (Set Up an LLC in Delaware (6-2. Get an EIN, Fill in the SS-4 Form))

The previous article shared the different channels through which entrepreneurs can obtain an Employer Identification Number (EIN). This article continues to document the often lengthy process of actually acquiring the EIN, capturing the waiting time and steps involved in securing this critical identifier for the U.S. company.

前文分享創業家如何取得EIN的管道。本文繼續記錄取得雇主身份識別號碼 (Employer Identification Number, EIN) 的漫長。

1. 填寫 SS-4表格

FirstBase在美國公司地址取得後，就將一張填好的SS-4表格寄來，表格內容所有的欄位不需要全部填入資訊，對於在美國設立LLC公司的創業家，如想自行填寫SS-4表格，以下填寫內容可參考 (按照SS-4表格內編號陳列)：

1. Legal name of entity for whom the EIN is being requested

🡺 填寫公司名

4a. Mailing address

🡺 取得的郵件地址(本欄從房號開始寫，最多寫到街名)

4b. City, state, and ZIP code

🡺 填寫公司登記的城市、州名(可縮寫，譬如筆者在德瓦拉州設立，則寫”DE”)、郵遞區號

7a. Name of responsible party

🡺 公司代表人姓名 (英文)

7b. SSN, ITIN, or EIN

🡺 國外創業家填寫”FOREIGN”

8a. Is this application for limited liability company (LLC)

🡺 Yes

8b. If 8a is “Yes”, enter the number of LLC members

🡺 依照實際情況填寫LLC組成人數

8c. If 8a is “Yes”, was the LLC organized in the US?

🡺 依照LLC建立狀況確認是否在US

9a. Type of entity 

🡺 照實際公司勾選，假如是合夥創業，勾選”Partnership”

10. Reason for applying

🡺 新創公司直接勾選”Started new business”, Type: 填寫事業性質，假如是貿易可填寫”Trader Business”

11. Date business started or acquired

🡺 公司創立時間

12. Closing month of accounting year

🡺 填寫離新的會計年度(accounting year) 最近的月份，通常是上一年的年尾月份(DECEMBER)

16. Check that best describes the principal activity of your business

🡺勾選最適合公司事業性質的描述，假如是貿易性質，可勾選”Other, Trader Business”

17. Indicate principal line of merchandise sold, specific construction work done, products produced, or services provided

🡺填寫公司未來想發展的事業，創業家可自行填寫，提供名詞：International Trader, Research & Development

18. Has the applicant entity shown on line 1 ever applied for and received an EIN?

🡺新申請EIN的創業家勾選”No”

Third Party Designee:

如果有需要委託第三方代辦，則此欄位需填寫，含：

Designee’s name: 被委託者名

Address and ZIP code: 被委託者住址

Designee’s telephone and fax number: 被委託者的電話跟傳真號碼

申請人資料：

填寫申請人的資料，包含宣告檢視過這份文件的申請人姓名(Under penalties of perjury, I declare that I have examined this application……)：

🡺填入英文姓名及公司內職稱，假如是LLC公司，可填寫英文姓名及”Member”

填寫申請人電話 (Applicant’s telephone number)，手機可行

填寫申請人傳真 (Applicant’s fax number)，如無傳真，可填寫第三方代辦傳真

最後在Signature處簽署申請人名及日期，就完成SS-4表格了

2. 作業時間：

FirstBase回覆申請EIN大概需要4個工作天(business day)，但因為COVID-19疫情關係。多次詢問下實際上等待時間大概延長到45天：
